Now I am not sure how negligence works in terms of directors and auditors

GRE was very easy to see they didn't conduct a real business the auditor should have easily seen this. The company had operating margins were above Facebook and Microsoft. Or making $40M of revenue on a 500K facility. Or never having a bad debt expense despite other tomoato paste companies being above 10% of receivables in China. These are very easy examples that any auditor should catch.
