Thank you for your complaint to the Ontario Securities Commission (OSC) concerning trading activity involving Mart Resources, Inc. (Mart).

The OSC’s main role is to ensure the company complies with all applicable Ontario securities laws. Regulation of public companies whose securities trade on marketplaces in Ontario focuses on requirements to make continuous disclosure of information that is material to the company. Just for your information, the principal regulator for Mart is the Alberta Securities Commission, not the OSC.

In regard to your specific concerns relating to trading that occurs after 4:00 p.m., the TSX has a Market On Close (MOC) facility, an electronic call market that establishes the closing price for certain TSX-listed stocks. The facility is designed to address concerns about increased volatility at the close of the continuous market and the limited opportunities for direct participation by market participants in trading at the close. Participants enter MOC orders through the MOC facility from 7:00 a.m. to 3:40 p.m., at which time the MOC imbalance is generated and communicated to the trading community. Activity in the MOC facility ends at 4:10 p.m.

There is also an extended trading sessionfrom 4:15 p.m. to 5 p.m. every trading day on the TSX. Trading can only be in board lots and at the closing price during this session. You may wish to contact your registered investment dealer firm to inquire about placing trading orders that can be executed in this session.

All trading on the TSX is subject to the Universal Market Integrity Rules (UMIR), which may have a bearing on how trading is conducted during the after hours session. If you need further information you may wish to direct an inquiry to the Investment Industry Regulatory Organization of Canada (IIROC), as it is the regulator responsible for compliance with UMIR. IIROC, a self-regulatory organization, acts as the regulation services provider for the TSX, and has regulatory responsibility for monitoring trading activity. IIROC staff use an advanced technology system known as the Surveillance Technology Enhancement Platform (STEP), which offers a unique consolidated view of trading on all marketplaces that helps to detect unusual activity. STEP gives IIROC the tools, including real time capability, to monitor and identify possible violations of UMIR. You may reach IIROC at 1-866-214-7200 for further information about how UMIR applies to the extended trading session or if you remain concerned about Mart's trading activity.
