Roland Butler, formerly president and CEO of Callinan, has been terminated without cause and has resigned from the board of directors as part of a transition process.

Bit confusing there.

But I read it that he was terminated in the position of CEO without cause.

...but he could have stayed on the board of Directors until such time that the voters don't elect him...so therefore he was not terminated from the Board...but chose to resign from the Board.

I'm sure severence negotiations were dealt with discreetly...and a smooth resigniation from the board was part of that undisclosed deal.

Interesting for sure.
