I decided I had enough of an understanding to call for information.  Just called the number in the press release - Jeanny So.  Very friendly and helpful and I got right through to her.  Here's what she told me;  the debenture is already closed but a subsciption PP is still available.  The paperwork is not yet complete but should be by next week.  Individual investors can buy-in for .05/share and each share includes a 1/2 warrant for .10/share which is valid for 24 months.  The max amount is $15,000/investor.  Shares cannot be traded for 4 months after issuance but shares from converted warrants can be traded any time - so if the share price was to go above .10 you could exercise the warrants and trade those shares immediately.  She will send out paperwork via email as soon as it's complete and you can either send it back directly and get a share certificate which you will deposit with your brokerage or complete the process through your brokerage.  No difference from their end but seems like the process of getting a certifed cheque and sending it and then depositing the share certificate means going through your broker might be less hassle.

For those who sent email perhaps she hasn't replied yet because the paperwork is not complete?  Anyway, I gave her my email and will decide whether or not to participate when I get the email from her next week.
