 BOSS POWER CORP. ("BPU-V") ANTHEM RESOURCES INCORPORATED ("AYN-V") - Boss Power Enters Settlement Agreement with Anthem Resources - and the Province of British Columbia Boss Power Corp. ("Boss Power") announces that it, and its wholly owned subsidiary Blizzard Uranium Corp. ("Blizzard"), have entered into a settlement agreement (the "Settlement Agreement") with Anthem Resources Incorporated (formerly Santoy Resources Ltd. and Virginia Energy Resources Inc.) ("Anthem") an d the Province of British Columbia (the "Province"). The Settlement Agreement provides for the full and final settlement of any claim Anthem may have against Boss Power, Blizzard and the Province, or any of them, respecting Anthem's interest in the mineral claims located in British Columbia and commonly known as the Blizzard Claims. In addition, Anthem has agreed to indemnify and save Boss Power, Blizzard and the Province harmless from and against any and all claims which are made or might be made or continued against Boss Power, Blizzard and the Province in the action commenced by Sparton Resources Inc. ("Sparton") in the Supreme Court of British Columbia on April 4, 2012 (the "Sparton Action"), whether brought by Sparton or any other party. In consideration of the settlement Boss Power will pay Anthem the sum of $400,000. As reported by Boss Power in its news release of June 2, 2014, as part of the amended Blizzard Settlement, the Province received an indemnity from Boss Power and Blizzard respecting the Blizzard Claims. The Settlement Agreement negotiated with Anthem not only resolves any claims Anthem may have against Boss Power and Blizzard respecting the Blizzard Claims, but also transfers onto Anthem any obligations Boss Power and Blizzard may have related to the Sparton Action, either directly or pursuant to the indemnity granted to the Province as part of the amended Blizzard Settlement. Boss Power is continuing work on the divisive reorganization by way of plan of arrangement under the Business Corporations Act (British Columbia) (the "Arrangement") as more particularly described in the Boss Power press release dated April 1, 2014. Currently, the dates for the initial court appearance and shareholder meeting respecting the Arrangement have yet to be set as Boss Power and Morning Star Resources Ltd., Magic Dragon Ventures Ltd. and Anthony Beruschi (collectively, the "Beruschi Parties") negotiate the details of an arrangement agreement. In the event no arrangement agreement is entered, the terms of the binding letter agreement announced April 1, 2014 will govern the Arrangement. Full details of the settlement of the legal disputes between Boss Power and the Beruschi Parties and the Arrangement (collectively, the "Transaction") will be included in an information circular to be mailed to Boss Power shareholders in accordance with applicable securities laws.
