i believe the debt they took on was very onerious in terms of interest payments. This cleans that up and leaves dry powder (cash) to buy more companies.

Cash levels were too low at ~3M for a company of this size.

This deal sold extremely well. Not even coming close to issue price. Very bullish on a down day in the markets.
