Mr. Yves Marmet is Chairman of the Board, President, Chief Executive Officer of ZoomMed Inc. He has been President and Chief Executive Officer of ZoomMed Inc since October 2005. From March 2004 to August 2005, he was President of Funtastica Entertainment Inc., a company involved in the field of entertainment. From June 1997 to October 2002, he was President of Fun Key Studios Inc., a company which was involved in the field of entertainment. He was the President from 1980 to 1995 and co-founder of Hypocrat, a company specializing in the development of software for the healthcare services market. Hypocrat now carries on business under the name of Healthvision. Mr. Marmet holds a Bachelor’s Degree in Engineering from the University of Sherbrooke and is a member of the "Ordre des Ingénieurs du Québec". Mr. Marmet is a full time employee of the company. Mr. Marmet was a director of Fun Key Studios Inc. when it filed for bankruptcy on October 16, 2002 as result of which Fun Key Studios Inc.’s shares were the subject of a cease trade order of 30 consecutive days. Mr. Yves Marmet made a proposal to his creditors on March 28, 2002 and was discharged in April 2005. |

She is the Vice President - Operations of ZoomMed Inc., since October 2005 and she is also Vice President - Finances and Chief Financial Officer since November 2007. From March 2004 to August 2005 she was Vice-President, Operations for Funtastica Entertainment Inc., a company involved in the field of entertainment. Finally, from 1997 to 2002, she was Vice-President, Operations for Fun Key Studios Inc., a company involved in the field of 3D software and entertainment. Ms. Pinard holds a degree in computer science. From 1980 to 1995 she held managerial positions in both private and public institutions. She has also worked in hospitals such as "l’Hôtel Dieu de Québec" and the Ste-Justine Hospital. Afterwards, as general manager and manager of operations for STI (Services Techniques Informatiques Inc.), During these years she acquired experience in healthcare software in the fields such as Pharmacy, radiology, laboratories, meetings and admission. Ms. Pinard is a full-time employee of ZoomMed. |

Mr. Marmet was Vice-President, Operations of ZoomMed Inc. since October 2005 Mr. Marmet holds a Bachelor’s Degree in Commerce, marketing and finance from the University of Ottawa. In 1980, he founded Les Ordinateurs Hypocrat Inc. (“Hypocrat”), for which he acted as Vice-President, Finance until 1995. Hypocrat specialized in the development of software for the health services market. Hypocrat securities were listed on the Montreal stock exchange in 1985. Mr. Bruno Floriani is Independent Director of ZoomMed Inc. He is a member of the Quebec Bar and has been practicing law since November 1984. He completed his Bachelor's of Civil Law at l’Université de Montréal in 1983 and obtained a certificate in common law from Dalhousie University in Halifax and a certificate in comparative law from the University of Shrebrooke. He is a partner in the law firm Lapointe Rosenstein Marchand Melançon, LLP (and of the law firm Lapointe Rosenstein LLP prior to its combination with the law firm Marchand Melançon Forget LLP since1989. Dr. Micheline Luneau is Independent Director of ZoomMed Inc. She is a member of the "Collège des Médecins" and has been a family medicine practitioner at the St-Hyacinthe “GMF” Family Clinic since 1981. She completed her medical studies at the Université Paul Sabatier in Toulouse, France, from 1972 to 1979. She also completed one year of internship at the “Centre Hospitalier Universitaire de Sherbrooke” and was registered as a Licentiate of the Medical Council of Canada (LMCC) in 1980. She has also been working at the general medicine department of an active care hospital for "Réseau Santé Richelieu Yamaska", where she put in place the geriatric department in 1985. From 1989 to 1992, she acted as secretary-treasurer for the “Conseil des Médecins et Dentistes”. From 1990 to 1991, she was assistant-director to the professional services at the "Réseau Santé Richelieu Yamaska". From 1996 to 2006, she was President of the continued education comity of the “Conseil des Médecins et Dentistes”. In 1999, she began working at the continuing professional development office of the Medical Faculty of the University of Montreal, where she participated in the development of workshops for general practitioners and acted as host for the training workshops. Furthermore, during 5 years, Dr. Luneau has been involved in pre-doctorate teaching “introduction to clinical medicine” and acing as a monitor for first year students at the Université de Montréal. Mr. Nicolas Matziorinis is Independent Director of ZoomMed Inc. He has been teaching at the McGill Desautels Faculty of Management since 1988 for the BCom and MBA programs (International Trade and Finance), McGill MBA Japan in Tokyo (Managing in the European Union and International Environment) since 2002, and John Abbott College (Marketing, Customer Service, and Management) since 1987. He has a keen interest in the health sector and served on the Board of directors of the Royal Victoria and Jacques-Viger Hospitals as well as those of CLSC Metro, St-Louis du Parc, and Cote-des-Neiges. Mr. Robert Powell is Independent Director of ZoomMed Inc. Mr. Powell graduated form the University of Toronto in 1970 with a Bachelor’s Degree in Civil Engineering. Mr. Powell stayed active in the University of Toronto Engineering Alumni Association. He is a member of the Professional Engineers Ontario as well as the Ontario Society of Professional Engineers. Mr. Powell also has a background in Corporate and Business Development, in Sales and Consulting primarily oriented to the field of Information Technology. Since 1977 he has been the President of R.S.P. Management Services Ltd., a Canadian company offering services to a broad range of clients. He was one of the founders of CANSYS Inc., a company existing since the late 1980s. CANSYS is a reseller of Microsoft Business Solutions and offers consultancy services to a broad range of clients throughout North America and Europe. From 1982 until its sale in late 2005, Mr. Powell was the President of CANSYS Inc. He is active in the business community and provides advice and counsel to start up businesses. |
