R they actually voted out?In times past, in similar circumstances, a committee ascertains that although votes were withheld,  the member provides exceptional value to the board because of their blah blah blah and pootie poot poot.

 I don't have a dog in this fight, any opinion one way or the other about the board and senior staff. I just don't. 

I will say that common shareholders can be put at risk in these battles for changes in the Board of Directors. Usually new directors are brought in as tools of the largest shareholders, who don't always share the interests of small holders.
