If ISS says vote NO, Why vote YES?

If ISS says vote NO, Why vote YES?
If ISS says vote NO why should we vote YES?

If Management gets to buy in at 6.50 in the new company and we don't get that chance, Why vote YES?

If PRE would be worth nothing and is in such a deep trouble then why would ALFA offer to buy PRE at $6.50 without worrying about paying the debt? I say Debt is not the issue here.

Ok PRE lost the Rubiales Field, Stuff Happens, PRE said they were confident they would prolong the contract on Rubiales Field well that didn't happen. But well after that Management said PRE is worth more than we are trading at today and the $6.50 ALFA has offered. So why say that?

Who is behind that the info about ALFA got to O´hara admin just in time before the announcement of the offer?

Why O´hara? Seems to me they moved pretty quickly and even brought in CORTINA. So now let's see O´Hara doesn't have the cash? well CORTINA Does! Cortina is a longtermer never a speculator. That means if  More cash is needed, more cash will go into the investment. Cortina doesn't move into PRE to lose money that is a no no, He is a shadow player and he backs Alejandro, 

They don't need to BUY PRE that is also why they don't put an OFFER against the 6.50.
They will win the VOTE then they will move on the Board of Directors and then they will do what most Activist investors do. Make PRE more profitable again and CASH OUT! 

I understand if you want your cash now! so if you do go ahead and vote YES!
BUT if you want more money in a few months and a year VOTE NO.
