RE:Canada Business Corporation Act (CBCA) - Meetingkisstopherp wrote: MBAC is incorporated under the Canada Business Corporation Act (CBCA)
The CBCA has provisions for which a shareholder can initiate a 'Requisition for a Meeting'
The process involves shareholder(s) with 5% of the shares outstanding submitting a formal request to each director and the Company directly requesting such a meeting take place.
If a director fails to schedule a meeting within 21 days then the shareholder(s) can schedule the meeting (how to do this I have no idea) or ask a court to do so on their behalf.
The meeting will request that the company present to shareholders under confidentiality an overview of all revised bids submitted to Deutche Bank under the Strategic Alternatives process.
Please send me the following information to my private inbox if you would like to pledge your shares:
Full Name
Address
# of Shares Held
Approximate date shares purchased
All information gathered will be done so under strict confidentiality and only used IF the threshold is met – If we don't meet the threshold I will delete all emails related to this topic accordingly.
My goal even if the meeting doesn't take place is to strike some fear in the BOD and Management.
Thank you to all that have sent emails already - I will provide a share count update when I get chance later on tomorrow.
Bump up for those who didn't see this yet.
Sorry forgot to quote.
Cheers
