Quote:

Function

  • In exchange for a retainer sum and access to company financial information, proxy company consultants write reports with detailed advice about how they believe investors should vote as shareholders of the company. Proxy company consultants provide this service for all major business decisions, from the election of new members to the expansion of a market.

Benefits

  • Proxy company executives claim that they provide a service to board members that helps them to make sound, responsible business decisions. Stephen M. Davidoff of "The New York Times" notes that proxies claim they serve busy, stressed-out clients who lack the business expertise or time to make profitable decisions on their own.

Criticisms

  • Proxy companies are not specifically regulated by a branch of government. As such, they are not accountable to any oversight body and must create their own best practice standards.Critics claim that this results in corrupt business practices that undermine the autonomy of client investors.
