i) Many organizations have similar rules in place to prevent an unannounced stacked meeting from overtaking their organization. If there is a need to ambush the current organizational structure, it does not pass the smell test with me. Let everything be upfront and then each side can present their arguments in the open. We just went through a democratic exercise which I believe was fair and just.
ii) If someone, or some other organization/company, was able to garner 9.9% or something close to that number, an ambush would likely prevail. Let’s face it; what just happened in terms of shareholder voting participation was not the norm. An AGM without anything too controversial would likely result in a traditional low voter turn out. Under this scenario, a large shareholder(s) would have a disproportionate amount of influence.
iii) Having all candidates on the ballot is democratic.
