If SU have the real sincerity to negotiate, they should submit a fair bid. Tell them to read the mcdep report for fair market value of COS. For those COS phone calls, tell them that COS Board will have to come up with some convincing options which guarantee better return to COS shareholders. Have they been smart, they will already have done "something" to protect COS from hostile takeover after declining the friendly bid in Apr.
