You said "if they retract the offer, then dilution kicks in and COS falls to half the price".. So poison pill does in fact fend off hostile takeovers (making it more expensive for them) but it also has downside of totally messing up COS SP after offer is retracted.... In short, it is better that the poison pill real execution would be avoided if at all possible...which meant (1) SU not able to get more than 20% of o/s shares if COS can't secure another better bidders or (2) COS can secure bidder in more attractive price than SU.
