All their moves must be seen through the lens of reducing taxes and decreasing risk and increasing shareholder value. For example, the original inversion to Canada to save taxes, or the 100 million prepayment and subsequent “performance” payment to Philidor. Though strange this was probably concocted by lawyers so Philidor shareholders could defer tax on the purchase allowing Valeant to buy them out at a lower price and for Valeant to reduce the risk of ownership. Valeant will take advantage of every loophole in order to increase profits to Shareholders. Anything wrong with that?
That’s why Ackman loves them. There is NOTHING illegal here. If Governments want them to stop, they can plug the loopholes.
