Because then they might struggle to raise the funds.  The only reason institutional investors are making the investment in the first place is because they want an absurd return.  If that cannot be promised they will just invest elsewhere.  These insitutional investors are not just signing up to make a one time investment in Natcore, they are signing up to protect their investment by giving cash whenever the company needs it to keep Natcore and their investment alive.  And for that service, they demand a low pps with the private placements.  Natcore will always honor the big institutioal investors by letting them invest first and then dropping news after, not the other way around or that would turn them off.
