Prop, have you ever seen a company substantially acquired through a "creeping" bid without a run up in the share price, which would otherwise rep a control premium? Not sure I can come up with one example. Ownership, barter deal, nuanced technology... They have zero appeal for anyone but a direct competitor. Either they're afraid of a dgi hostile bid, or the r&d deal with the nga has continuity provisons that make it necessary from a legal perspective. Unless of course they are starting to believe their patent applications are worth something. Net net, it is designed to expand mgmts/larson control beyond typical statutory provisons, which is almost never viewed positivly by the markets. It will likely pass as most retail holders won't bother to cast a vote.
