Based on conversations with HPQ management, the capital structure of HPQ will not be changed at all when the spin off happens.
Very soon, there will be a date of record published, which will define who are shareholders of record and what percentage of HPQ they hold as of that date will determine what percentage of
Beauce Goldfields shares will be distributed to their account.
A 1% shareholder of HPQ on that date will automatically become a 0.8% shareholder in
Beauce Goldfields and will maintain ownership of all the shares in HPQ that they own on the date of record.
The value of HPQ shares will not be adjusted by the company when the split happens. It is likely that the capital value of
Beauce Goldfields will be close to the capital value of UBR before Silicon came onto the scene (first news release discussing PYR agreement?).
HPQ will maintain ownership of 20% of Beauce Gold Fields shares, and the remaining 80% of the shares will be distributed among the HPQ shareholders as of the date of record, as shares in Beauce Goldfields (so actually HPQ shareholders own the 20% portion as well).
The market will decide the value of HPQ shares, and the market will decide the value of Beauce Goldfields shares once trading begins following the spinoff.
There may be a graduated hold period on HPQ shareholders being able to sell certain percentages of the Beauce Goldfield shares in order to help to stabilize the value.
