RE:wcx take over WILLIAMS CREEK SHAREHOLDERS APPROVE BUSINESS COMBINATION WITH BARKERVILLE GOLD
Shareholders of Williams Creek Gold Ltd. approved the previously announced business combination with Barkerville Gold Mines Ltd., to be completed by way of a plan of arrangement, at a special meeting held on Aug. 8. Under the terms of the arrangement, Barkerville will acquire all of the issued and outstanding common shares of Williams Creek. Under the terms of the arrangement, Williams Creek shareholders will receive 0.062352572 of one common share of Barkerville in exchange for each Williams Creek common share held.
Shareholder participation was very high, with holders of 46.17 per cent of the company's outstanding shares having exercised their votes. Williams Creek would like to thank all of its shareholders for their engagement and participation.
Williams Creek will be seeking final court approval of the arrangement on Aug. 11, 2016, and, subject to the satisfaction of certain customary closing conditions, the arrangement is anticipated to be completed on or about Aug. 16, 2016. If closing occurs as contemplated, Williams Creek's shares are expected to trade until market close on Monday, Aug. 15, 2016, and be delisted on Tuesday, Aug. 16, 2016.
