We are experts, we figure we need $2M.  A nice PP should take care of that.  In order to intice financiers we need to give a premium, so let's go for 0.05.
Therefore $2000000/0.05= 40,000,000 shares.
At this point the total outstanding share count will be a tiny bit above 142,000,000
