RE:AndThere  are   8  directors    that  on  on  average own   45207    shares  each   .   The  reason   that  they  rebuff  the  offer      is   that   the  perks    and     fees   of  being  a  director    exceed   the   value   of   their  shares .        The  new    proposed   note   issue    have   not   yet   been    sold     but  will   not   be available   to  retail   investors    if  as  and  when  issued.
