The TSX Venture Exchange has accepted for filing the documentation with respect to a non-brokered private placement as announced on Sept. 6, 2016.
Number of shares: 30 million common shares
Purchase price: five cents per common share
Warrants: 30 million warrants to purchase 30 million common shares
Warrants exercise price: six cents during the 60-month period following the closing of the private placement
Number of placees: 28 placees
Insiders: Jacques Levesque, one million; Marcel Faucher, 400,000; Claude Poulin, 200,000
Finders' fees: Finders collectively received $32,100 in cash and 600,000 units of the private placement.
The company has confirmed the closing of the above-mentioned private placement by way of news releases dated Sept. 15, 2016, and Oct. 11, 2016.
