First, no, MT does not have to dispose of his shares, he could actually be buying if he felt the company was doing well or holding.  But dumping here means this is going to get a lot worst!

The downtrend on no news indicates as much as when we saw the unexplained uptrend late Thursday.  It means non-public info is filtering through some channels and/or the UK readings of the Health Care act reform is getting traction in the main investment channels.
