Culebra Petroleum

What concerns me is that Sound will farm out 66.67% of Sound Energy Morocco South to private company Culebra Petroleum. Culebra is based in tax-haven Guernsey with no company information online. The deal is banking on Culebra to finance $24 milion and pay 90% of the net profit interests PetroMaroc. Question - who the hell is Culebra Petroleum and will the involvent of an unknown private company hinder Moroccan approvals???
