They're a public company they have to announce earnings even if an M&A deal is about to close . Shareholders have a legal right to know so they can make an informed judgement about how to vote their shares.

I do find it interesting that RKN has not even set a date for announcing yet. The last few years results have been released by now. Either the deal is percolating in the background, or they're scrambling around to try to get pull in as much revenue into the year as possible.
