I will only reiterate that the role of the directors is to benefit the company.

In addition to the lost opportunity to have someone that can further the company, Pete is getting paid to sit on the board. HPQ is paying someone so that they can see if that person it selling their shares. 

There are hundreds of shareholders who could sell, FNC is not special in this regard.
