Voya Asia Pacific High Dividend Equity Income Fund (the Fund) is a diversified, closed-end management investment company. The Fund’s investment objective is total return through a combination of current income, capital gains and capital appreciation. The Fund seeks to achieve its investment objective by investing primarily in a portfolio of dividend yielding equity securities of Asia Pacific companies. The Fund will seek to achieve its investment objective by investing at least 80% of its managed assets in dividend producing equity securities of, or derivatives having economic characteristics similar to the equity securities of Asia Pacific Companies that are listed and traded principally on Asia Pacific exchanges. The Fund will invest in approximately 60-120 equity securities and will select securities through a bottom-up process that is based upon quantitative screening and fundamental analysis. Voya Investments, LLC is an investment adviser of the Fund.

A Few Questions

A Few QuestionsPlease correct me if I'm wrong but with everything that I have read since news of the takeover sounds as if Delek needs 50% of the vote but not ownership of these shares, in other words they only require 50% of investors to vote yes. Should they not receive the required 50% they have 3 options, either increase their offer, go for a hostile takeover or just walk away.

I have a few questions for those that may know the answers as this is my first takeover. I can understand why some are selling in the $1.95 range but who is buying? Is Delek buying or is this fund managers buying assuming a higher takeover price?
 
Since the vote won't take place until early May and Stella starts pumping this month as stated can the share price increase from the current bid offer price and what does this do to Delek's bid price, are they forced to match the share price come May?
 
At what point can other companies put forth a higher bid for Ithaca?
