I don't get it.

A logical reason seems to be that the directors wish to expand the company at a rate, suitable to director's interests, not to shareholders interests.  It matters little to the directors whether they wait for an opportune time to raise capital for expansion or whether they issue shares at a fraction of the value of the underlying company assets.
