Because if SP hung out that low for too long, Mackie could duck out or demand another amendment to the offering at a lower value. The fact that it was amended backs what I'm saying. It was originally put forward around 1.10. This either makes it easier for them to close it at this price, or MGX could push back and close it higher. It's all based on market price, which hit .75
