LSC has no properties producing positive cash flow and the Resulting Issuer’s ultimate success will depend on its ability to generate cash flow from active mining operations in the future and its ability to access equity markets for its development requirements. LSC has not earned any profits since inception and there is no assurance that it will do so in the future. All of LSC’s activities will be directed to the search for and the development of new mineral deposits. Significant capital investment will be required to achieve commercial production.
