private placement funding

private placement fundingwhy would the company offer shares at $0.85 per share when they are trading at $1.03 - last time shares were trading at $1.10 and company offered them at that price. This does not look good from an investment point (insider trading) especially when they discovered a valuable diamond just before the offer hmmm ??
