Under the new arrangement, Scalar will purchase Sandvine shares for $4.15 each, implying an aggregate fully diluted equity value for the company of about $529 million and representing at 32% premium to Sandvine's closing share price of $3.15 on May 26. Sandvine's board unanimously approved Scalar's revised proposal, which was found to be superior to the competing offer of Francisco Partners. Sandvine's shares fell to an intra-day low of $4.20 in the mid-afternoon, before recovering to close at a near 52-week high of $4.25. The company's shares have trended up since May 26, when Scalar announced its initial proposal to acquire Sandvine for C$3.80 per share
