If 38% of ALL shareholders really are locked in to voting against it, it's definitely going to be hard to push it through. Not only will most of the shareholders have to vote, but most of the shareholders that do vote will need to vote FOR the acquisition.
I also doubt CMED has to pay HIP anything in the event that shareholders don't approve the acquisition. My guess would be that their only obligation under the Agreement is to bring the acquisition offer to its shareholders and have them vote on it.
