Agreed, the HIP deal doesn't make sense. However, Aurora's offer was too weak since all paper based, they gave Cmed mgmt an opening to hang on. Had they come a more solid (=cash or straight share for share) offer they could have saved a lot of time and money, now we're left with this Flintstone fight match with each co hammering each other on the head with a club. Only winners are the lawyers...
