I have tried to explain this as clearly as possible, but I am falling on the deaf ears of people who bought at .08 or higher who are hoping for a miracle to come and save them. Now let me try to explain an answer to your question. Please, read the LOI in my post again. This is what is going to happen:

1. 115M current TFS shares are going to be turned, 200:1, into 575,000 shares. These are the 'post-consolidated shares' referred to in the LOI. You were correct in that understanding. 

2. Read the next sentence of the LOI.  TFS is going to take all its 575,000 post consolidated shares and trade them at a rate of 4:1 for Canntab shares. This means that 575,000 shares that USED TO BE THE 115M that everyone is holding, will be converted into 143,750 Canntab shares. Whether you like it or not. That's what was said in the LOI, and the management of TFS is in the clear when you lose all your money. You will not be able to sue anyone because you misunderstood the LOI terms. 

3. Correct. When Canntab goes public, the shares that will be in circulation are the 143,750 that came from the TFS deal, and the 1.25M shares that will be sold to buyers that day in order to raise the $5M they want to raise in order to expand. They will be sold on the day of at $4 a share. This is likely a low valuation, which is why I said earlier that I will buy, but only after Canntab goes public. 

4. The owners of Canntab will have 24.4M shares, minus the 1.25M they are selling when Canntab goes public, minus the 143,750 shares that were converted from TFS shares, that they have to give up in order to get this deal to work. Its cheaper than doing a whole IPO, which is why so many small companies do it. 

I mean think about it. If you owned a company 100% and wanted to go public,  you don't give away ownership of your company unless you get something from it. In this case, its the 5M they will raise when they sell those 1.25M shares. But yes, they will own the rest of the shares; they should; its their company. I don't get what is so hard to understand?

Obviously if you have put money into this company and are in the red as of now, it hurts to sell and take the loss. If you don't know this, you havent been trading long enough and should probably take a break to recoup your losses. But its the worst traders that cannot admit they are wrong. Its the best traders that leave their ego and pride at the door and focus on getting better. 

I am more than willing to listen to anyone who can explain to me why they would buy TFS shares at this price, but no one has, and I have now 3 times explained, I think quite clearly, why the shares are valued at 0.005CAD. No one has pointed out problems with my logic or argument, but have instead pointed out that I only joined the forum on Jan 3, and that I have a previous post that says Canntab should be bought after it goes public. Ok. That's fine. I will no longer be posting in this Bullboard because anyone who is still holding onto this garbage stock cannot read legal documents, and cannot get over their own ego to listen to someone who is trying to make sure they are not left holding the bag. 

I originally posted when the shares were at 0.08. They are now at 0.05, on VERY LOW VOLUME. If you don't know why the volume is significant, maybe you need to read some trading books so you know what I'm trying to say. 

But for those who will lose all their savings, loans, extra saved money, or months of gains from trading, all because they do not want to admit they are wrong, you deserve what's coming to you.
