Due Diligence on the Private Placement

Due Diligence on the Private PlacementHappy reading everyone. Haven't proof read. Only took about 5 mins per person. Hope it shows up nicely formatted. "Bought" is how many shares they purchased in this recent PP. "Own" is total amount owned (Prior to this placement...does not include these shares). I only looked at people who bought over 100,000 shares, or previously owned over 100,000 shares. I know 100k shares ain't a lot (many individuals on this board own more than that number), but it's still a signficant amount of money to buy into, even at 40 cents/60 cents (50,000k).

*Matthew Lee (Santa Clara, CA) Bought: 62,500.  Owns: 892,368*
-Can’t find someone with this name from Santa Clara. Oddly enough there is a Mathew Lee (Note, only one ‘t’ in name) that works as a Senior Financial Consultant and Controller for Cannabis Compliance, and AP Capital Management. Anyways I think this is a coincidence. Weird coincidence.
“Senior Financial Consultant for Canada’s largest cannabis industry consulting firm. The firm’s primary objective is to assist clients in obtaining approval from Health Canada to become a licensed producer. Responsibilities include developing financial models and business plans that can be used to secure financing, as well as oversee/lead client meetings, and developing industry benchmarks”

*Steven Feldman (Surrey, BC) Bought: 100,000. Owns: 465,000*
-Steven is a director with the company.

*Circa Capital Corp. (Vancouver, BC) Bought: 50,000. Owns: 215,000*
-Think this is a small investment firm. Jeff Davis is president so would be responsible for this buy. He’s dabbled into a bunch of other placements including PUF.

*Barry Sharp (Coquitlam, (BC) Bought: 50,000. Owns: 1,000,000*
CEO of SHARP business plans “For over 30 years, we've been writing business plans to help both large and small businesses get started, gain financing, become more efficient, and increase profitability. Some of us have started and operated several of our own businesses, so we understand what entrepreneurs go through.”
They are doing work with ACMPR business plans; https://www.sharpbusinessplans.com/business-plans/acmpr/
Hey, must be a good sign right? Saw something they like with LIB (could only assume lib used their services).

*StoneBridge Partners LLC (Miami, FL)  Bought: 150,000 Owns: nil*
Michael Berger is your man behind this buy. They do cannabis stock promoting. Haven seen them do one with Lib. Believe he works for ‘Technical 420’ as well. Maybe is going to be behind next financial Post article idk. Or he helped write the last one? Seems like a weird connection. Count me in as sketched out with this guy.

*DD Mercantile Corp. (Surrey, BC) Bought: 225,000. Owns: nil*
Dave Doherty is the man behind this. Used to be an investment advisor with Cannacord Capital Genuity. ”offering merchant banking and corporate advisory services to a number of companies across various sectors. “

*Amber Anderson (Coquitlam, BC) Bought: 100,000. Owns 300,000*
Executive director at a culinary training society. Used to be a small business owner. Her caf shut down, a dispensary was built next to it (funny)…this was back in 2012. Wonder what the connection is with her.

*TGOF Corp. (Hamilton, ON) Bought: 125,000. Owns: Nil*
-This one is interesting. Ever heard of TGOD? ACB owns a big piece of them. Here is what is written on their page:
“TGOF Update:
We are proud to announce we have launched a separate but related private equity investment company called The Green Opportunity Funds (“TGOF”).
TGOF invests in global cannabis opportunities in the areas of cultivation, extraction, edibles & drinkables, branding, and other ancillary businesses. To date, we have invested in, and are in late stage due diligence with a number of companies that are leaders in their respective markets.
TGOF is continually seeking investment opportunities. If you or anyone you know is looking for funding in the cannabis space, please reach out to us directly at info@tgof.ca.

*Kevin Berry (Upper Coverdale, NB) Bought: 350,000 . Owns: Nil*
-Interesting. Think I have our guy here, but could be wrong:
“On Target Courier & Cargo Ltd. is a locally owned and operated company founded in 2001 by Mr. Kevin Berry. As its President and CEO, Kevin brings over 30 years experience in the courier and cargo industry to the enterprise. Since its inception, a thriving market has dictated the expansion of services in all divisions of the company, resulting in a move to its present location in 2012, additions to its fleet of vehicles, and the emphasis on LTD Brokerage outside the Maritimes in a bid to expand its services to the rest of Canada.”

This is what they offer:
24 / 7 Live Dispatch, Direct / Rush / Same Day / Overnight, Temperature controlled, heated or refrigerated transportation, National & International Shipments (Air or Ground), Dedicated Delivery Routes, Cross Docking Services Available 24/7, GPS in all Vehicles for Instant Up-To-Date Tracking on the Road

Temperature control is really interesting to me. Assume you may need that for shipments. Hmm!

*Vladimir Kuzin (Moscow, Russia) Bought: 1,375,000. Owns: Nil*
-This one worries me a bit. Could just dump them all in for quick cash. Why would someone in Russia have interest in Liberty Leaf Holdings…$500,000+ of interest. Too hard to track anybody by that name, but I assume the person has lots of money. Here is the closest chance (from 2015):
Deputy Head of the Main Department of Road Safety Ministry of Internal Affairs of the Russian Federation, Major General of Police, Vladimir Kuzin.

*Seamus Byrne (Rothesay, NB) Bought: 750,000. Owns: Nil*
-This is another interesting one. He does citrus distribution in NB (owner of Halifax Citrus). He actually participated in a TGOD PP in August. Maybe he has a ton of money and an interest in the industry. He’s dabbled into blockchain comp as well (company ticker ‘BIGG’).

*Hedge One Capital Fund Inc (Kelowna, BC). Bought: 275,000. Owns: Nil*
-Cant Find anything

*Sunshrine Capital Corp (Coquitlam, BC). Bought: 25,000. Owns: 2,893,500*
-This is Will Rascan. His capital I understand. There were a lot of people from Coquitlam. Could be Will's friends (this would be a good sign).

Starting to assume that North Roads is located in Coquitlam. Makes sense, industrial parts of that area in Metro Van.
