The company has about $125M in debt + $100M for the outstanding shares = $225M.

Yes, it's only about 15% of sales but the margins are so small and the business volume is decreasing.

Current major holders will agree to get taking over at that price since they are still making money. They bought the re capitalisation at 0.67 in Fall 2016

Finally at $1, it's a 40% premium to what the market is valuing its shares as of today

It's unfortunate, in Jan 2017 we were expecting much more. But as of today, I'll accept the $1

I hope I'm wrong.
