I am not an expert on this but the way it usually goes is you must appoint a proxy , tick the appoint a proxy box and then tick the for or against box.
Shares without a proxy are considered to be in support of management and therfore a yes.
This process is like the house rules on the roulette table. Obviously in favour of the house ( MPVD Management) . One of the many left over advantages of management and bankers over the lowly investor.
If that process were reversed and shares not voted were a no or at least a non vote, things would be a little more level.
