In a way you're right. If he strongly believes we're at a low and this is going to significantly appreciate in value over the coming years, privately selling his shares from his person to a holding company will provide him a more attractive tax shelter for future capital gains than paying personally. He'll need to pay his capital gains for 2018 based on the market value of the stock the day he made the transaction, but all future capital gains will potentially be at a lower rate based on where he moved his shares to.
It's no different than selling your spouse your shares if you make a significantly higher income than her.
