RE:RE:RE:RE:RE:Consolidation... allow me to try to explain keeping in mind I am a novice investor.

First if all, there is no RTO as of yet. RB.H is simply a shell at this time. Nothing more, nothing less. It is true that with the current articles of incorporation, RB.H required shareholder approval for a consolidation to happen. But under the proposed schedule outlining new Articles of Incorporation as detailed Management Information Circular, it would allow directors to consolidate shares without going back to shareholders approval. Thus, this new proxy vote makes zero sense to me other than to make existing minority shareholders of RB.H nervous about the consolidation and the dilutive effect it will have on their position in the event of an RTO. Hugh Notman is a shell packager. His roll right now is to keep the affairs of rB.H current as well as find a candidate company to roll into the shell. If they find a successful candidate to roll into the shell, Hugh will eitherjoin the board of the new company or resign from the existing board of RB.H.

The only value RB.H has right now is it’s current listing and the good will that Hugh and other directors being to the table. Let’s hope they can make the most of this shell and protect minority shareholder interest in the process. As minority shareholders, we can only hope that Hugh protects his current investment in RB.H which is fairly significant by avoiding or approving a small roll back. The smaller the rollback, the better it is for existing shareholders of the shell. The challenge is that the neew company doesn’t really care about the minority shareholders of RB.H. They want to dilute RB.H including Hugh to as low percentage of ownership in newco as possible. 

I could go on and on but we as minority shareholders are putting our faith in Hugh to negotiate a deal for existing RB.H shareholders (including himself and the existing board members) that preserves as much of out share of newco asbpossible.

Don’t listen to me though. I am a novice investor.
