AEM is an influential shareholder, so are ES and AZX United, and others.
1.7Ms amounts to 0.3%FD which is nothing compared to some of us in AZX United (total 57M shares, or over 8%FD which is even more than what AEM has, 6.6%FD, if we stick together, ES has over 11%FD with all wts exercised).
The last time we had a proxy fight to unseat a long-time founder (just like EO) at ER, a dissident shareholder (having 2% ownership) and with the support from the rest of BoD and a majority of shareholder. Similarly, the founder had less than 1%, and he finally gave up the fight when ICG came in and act as a white knight. But, that is another story.
In our case, EO has less than 1% going against the BoD and some major block of votes that seem to go against him. May be, EO would give up his fight as well, since a proxy fight cost real money.
Even if AEM, somehow, throws in its support behind EO, it's difficult to figure out a scenario that would give AEM an advantage. Certain not for a mega destruction of the share structure and with EO at the helm of the company. If AEM wants to make some kind of a deal, it would be something that they would want to do with ES and the current BoD, rather than with one lone director on his way out at the Special Meeting.
