A regulatory trading halt by the market regulator or exchange prevents dealers from trading - no IIROC participant can execute a trading during such a halt.  That does no preclude the company from closing a private placement (i.e. a prospectus-exempt distribution) directly to investors.  That would require a cease trade order from a commission (ALL trading is prohibited).
