Doesn't remedy their banking covenant problem. 

Going private is a monstrous effort once you're public.  Costly and time consuming.  The results to going private would be:

Pros - cost of being public can be from $400K to well more than $1 million.  No more arduous securities regulations, tight governance rules, etc. 

Cons: access to capital markets for a range of equity, debt and convertible financings.  Partial or whole liquidity for major shareholders.
