I think that would be very undesirable for MRS shareholders, as those assets belong to MRS.
The more likely scenario is that MRS will simply create a new subsidiary on paper, it will merge with Unifire, and then the new subsidiary will liquidate, leaving Unifire as a subsidiary of MRS.
This structure will ensure that Unifire keeps all of their business contracts, that might otherwise be lost if MRS simply bought Unifire out, or merged with them. It is a curious dance, but that is what corporate lawyers are for. But the reasoning is clearly laid out in the news release:
" it would significantly increase Mission Ready's sales and provide privileged access to valuable contracts that are set aside for small business (which contracts might not otherwise be available to Mission Ready) "
Well, LucasKnight read my post and has posted his version on ceo.ca, and TheRev has changed his mind and is agreeing to what I said. I guess I hit on something they had not previously considered.
