The Company owns 91% of AMA, and 100% of Infused MFG LLC Infused.

Total gross proceeds from debenture units = $17,250,000

Each debenture unit has a conversion price that equals $0.45 per debenture share. $1,000 / $0.45 = 2,222 debenture shares.

17,250 debenture units converts to 38,329,500 debenture shares.

Share Purchase Warrants:
Each debenture unit consists of 2,222 share purchase warrants.

17,250 units x 2,222 = 38,329,500 share purchase warrants.

38,329,500 share purchase warrants x $0.65/warrant = $24,914,175

Total Possible Gross Proceeds
$17,250,000 for the issuance of 17,250 debenture units, consisting of 38,329,500 debenture shares

$42,164,175 for the total issuance of 76,659,000 shares (50% as debenture shares at $0.45 and 50% as share purchase warrants at $0.65.


As for the interest... it's pointless IMO trying to factor in it's impact. If the SP peaks on cycle, you can expect substantial conversion and disposition. If the SP falters, then interest payments become of greater consideration.
