Aimia: Duties of a Board of Directors

Aimia: Duties of a Board of Directors
Hummm…maybe scrutiny some of the current and previous Board Directors of Aimia may be warranted?

=========================================================================

Duties of a Board of Directors

"Because directors exercise control and management over the organization, but organizations are (in theory) run for the benefit of the shareholders, the law imposes strict duties on directors in relation to the exercise of their duties.

The duties imposed on directors are fiduciary duties, similar to those that the law imposes on those in similar positions of trust: agents and trustees.

The duties apply to each director separately, while the powers apply to the board jointly.

Also, the duties are owed to the company itself, and not to any other entity.

This does not mean that directors can never stand in a fiduciary relationship to the individual shareholders; they may well have such a duty in certain circumstances."

I have always suspected that all or most of the legacy board members were sympathetic to AC interference /directives, or at least all were 'yes' men  / women to dominant board member(s) in colusion with AC.

They should investigate Necter sale. Even though it wa non-core, question should be raised - why it was sold so cheap. To me, it was an inside job to position AIMIA  such a way that it can be taken over by AC..or make the company meaning less without AP after AC buy the AP cheap - so AIMIA will have consolidate after AP is sold.
