I can approximately see how you are getting the $320M share count based upon CB obtaining 38% of Canopy after this deal gets done in October. I don't believe they will be given a further 150M shares if the warrants are exercised at a further cost of only $4.5B to CB because this would only work out to about $30 a share.

Right now canopy has a value about 215 000 000 shares x 60 $ = 13 B with no cash.
When the deal will be effective canopy will have about 320 000 000 shares x 60 $ if price stay fixed (I doubt) = 19.2 B (probably more) with 5 B cash.
If CB exercises their warrants, then valuation willl be 470 000 000 x 60 $ again if price stay fixed = 28 B with about 10 B cash.
