On the 7th of Sept. ACB VWAP was 7.96.  They gave ICC a value of 1.95 per share. That price is set.

1.95 devided by 7.96 equals .2448.

Therefore, say the ACB VWAP at some point in the future ( the date before the deal wraps up) is 12.45

 1.95 devided by 12.45 equals .1566 of a share. In other words, less than in the example the companies used. 

The dollar value remains the same, the share amount, however, decreases with the rise of ACB share price. Conversely, if the VWAP is lower than 7.96, then the share amount will be higher than companies example per NR.
