TSX Venture Exchange (the "Exchange") has accepted for filing an amendment to Purchase Order #6 (amendment #1 and amendment #2, together, the "Amendments") related to the Sweden Bitcoin Letter Agreement dated December 13, 2017 between the Company and Genesis Mining Ltd. ("Genesis") previously approved by the Exchange on January 4, 2018. There is no consideration being exchanged for the Amendments.
The transaction is a Non-arm's length transaction as Genesis is a Control Person of the Company. There are no finder's fees.

TSX Venture Exchange has accepted for filing the master data center purchase agreement dated November 29, 2017between the Company and Bitfury Holding BV, a Netherlands company ("Bitfury"), a purchase order number 5 dated July 30, 2018 between the Company and Bitfury, and a credit agreement dated September 10, 2018 between the Company and Galaxy Digital Lending LLC, a subsidiary of Galaxy Digital Holdings Ltd. (TSXV:GLXY), (collectively, the "Agreements"), pursuant to which the Company has purchased an additional 16 BlockBox datacenters for total consideration of US$16 million. The consideration is comprised of (i) US$9,920,000 in cash; and, (ii) US$6,080,000 or 2,133,858 common shares of the Company.
The transaction is a Non-arm's length transaction as Bitfury is an Insider and a Control Person of the Company by virtue of its shareholdings.
