I suppose that major shareholders want to be free to sell their shares, and if someone has made them an offer for their shares, they could just offer to pay them more than what they are paying other shareholders. After the company is sold they wouldn't be subject to disclosure requirements, and can just transfer their shares privately. Straight out of the russian oligarch's playbook. That, however, would be illegal, but it would be very hard to prove.
